Terms & Conditions

1. Acceptance of Terms By accessing and using the Efficient Inventory System (“System”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you are not authorized to use the System.

2. Use of the System The System is provided for the efficient management of inventory and student records. You agree to use the System only for lawful purposes and in accordance with these Terms.

3. Intellectual Property Rights The System and its original content, features, and functionality are and will remain the exclusive property of the Seneca Civil Department and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the System for its intended purpose.

4. User Responsibilities You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

5. Privacy Your use of the System is subject to our Privacy Policy. By using the System, you consent to the collection and use of your information in accordance with our Privacy Policy.

6. Modifications to Terms We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms on the System. Your continued use of the System following the posting of changes will mean that you accept and agree to the changes.

7. Disclaimer The System is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability In no event will we, our affiliates, or their licensors,

service providers, employees, agents, officers, or directors be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the System; (ii) any conduct or content of any third party on the System; (iii) any content obtained from the System; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

9. User Content and Conduct You are solely responsible for the content and information that you submit, post, or display on the System. You agree not to post, transmit, or otherwise disseminate any content that is unlawful, libelous, defamatory, obscene, pornographic, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, or fraudulent. You agree to comply with all applicable local, state, national, and international laws and regulations regarding your use of the System.

10. Termination We may terminate or suspend your account and bar access to the System immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

11. Governing Law These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the Seneca Civil Department operates, without regard to its conflict of law provisions.

12. Changes to the System We reserve the right to withdraw or amend the System, and any service or material we provide on the System, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the System is unavailable at any time or for any period.

13. Indemnification You agree to defend, indemnify, and hold harmless the Seneca Civil Department, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the System, including, but not limited to, your User Content, any use of the System’s content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the System.
